These terms govern your use of catalogsmith.com and any engagement of CatalogSmith for product catalog data cleanup. In plain English: you may use this site to learn about and request our work; a free sample or any quote is not a binding contract until both sides agree in writing; we keep your data confidential and use it only to do the job; and our liability is limited to what we were paid. If anything here conflicts with a signed agreement for a specific project, that agreement wins.

Using this site

You may browse catalogsmith.com, read our material, and submit the lead form to request a free sample clean or a quote. The content here is provided for general information about our service and does not constitute professional, legal, or compliance advice. We may update, restructure, or remove pages at any time without notice. Please do not attempt to disrupt, scrape at scale, reverse-engineer, or gain unauthorized access to the site or its underlying systems.

The free sample and any quote are not a contract

A free 50-SKU sample clean and any price, scope, or timeline we describe are an invitation to work together, not a binding agreement. No contract is formed by visiting the site, submitting the form, receiving a sample, or reading a proposal. A project becomes binding only when both parties confirm the scope, price, and terms in writing — for example, a signed statement of work or an explicit written acceptance by email. Until that point, either side is free to walk away with no obligation.

Confidentiality of your data

Any catalog export, file, or sample you send us is treated as confidential. We use it only to perform the work you have requested — the sample clean or the engaged project — and for nothing else. We do not sell it, share it with third parties for their own purposes, or use it to build or improve anything unrelated to your job. After delivery, source files and working copies are deleted on the schedule described in our Privacy notice or in your project agreement. If you have a stricter requirement, such as a mutual NDA or a fixed deletion date, we are glad to put it in writing before you send anything.

Your responsibilities

You confirm that you have the right to share the data you send us and that doing so does not breach any obligation you owe to a third party. Because catalog cleanup depends on the source you provide, you are responsible for the accuracy and completeness of the original export and for reviewing our deliverables before importing them into a PIM, webshop, marketplace, or other live system. We flag anything uncertain for your decision rather than guessing; final business calls — for example, which of two duplicate records survives, or how an ambiguous category should map — remain yours to confirm.

How the work is delivered

Every cleanup job returns four artifacts: the cleaned, import-ready data file; a data dictionary explaining every column; a per-cell change-log recording each edit (original, cleaned value, and reason); and a findings report with a short list of items only you can decide. Nothing is changed silently and no row is quietly dropped. We do not, however, warrant that a cleaned file will import without error into every system, because import behavior also depends on the target platform's own rules and configuration, which are outside our control.

Limitation of liability

To the fullest extent permitted by law, CatalogSmith is not liable for indirect, incidental, consequential, or special losses, including lost profits, lost revenue, or loss of data on systems we do not control. Our total liability for any claim arising out of an engagement is limited to the fees you paid us for that engagement. Free samples and information on this site are provided "as is," without warranties of any kind. Nothing in these terms limits any liability that cannot lawfully be limited.

Intellectual property

You own your data and the cleaned deliverables we return to you. The CatalogSmith name, site, copy, and method remain ours. We may describe completed work in anonymized, non-identifying terms — for example, "an industrial distributor's 40,000-SKU catalog" — but we will not name you or expose your data in any marketing without your written permission.

Governing terms

These terms, together with any signed statement of work, form the whole agreement between us for an engagement and supersede earlier discussions. If a specific provision is found unenforceable, the rest stays in effect. The governing law and venue for any engagement are set out in that project's agreement; where none is specified, the parties will resolve disputes in good faith before pursuing any other remedy.
